Terms of Service for AICTPO AI Coding Agents

These terms govern your use of AICTPO's autonomous AI coding agents and engineering team services. By using our AI coding agent platform, you agree to the following.
1. Acceptance of Terms
By using AICTPO services ("the Service"), you agree to these Terms of Service. These terms apply to your use of this website and any associated services including AI agent deployment, fleet management, and engineering automation.
2. Description of Service
AICTPO provides AI engineering departments as a service. The Service:
- Deploys autonomous AI agents into your existing repositories
- Agents pick tickets, write production code, open PRs, and complete sprints
- Operates within your existing CI/CD pipeline, branch strategy, and merge rules
- Runs on dedicated VMs with access only to the repositories and tools you authorize
3. Client Responsibilities
You agree to:
- Provide repository access and necessary permissions for agent operation
- Maintain human review of agent-generated pull requests
- Ensure compliance with your organization's security and access policies
- Not use the Service for unlawful purposes or in violation of third-party rights
4. Access and Security
Agents operate with the repository permissions you define. They have no access beyond what you grant through your Git provider's existing role system. All agent actions are logged and auditable. You may revoke access at any time.
5. Intellectual Property
All code produced by AI agents operating in your repositories belongs to you. AICTPO retains no rights to the code generated for your projects. The underlying platform, tooling, and knowledge packs remain the intellectual property of AICTPO.
6. Service Level
Agent availability targets and response times vary by plan. Custom Fleet plans include specific SLA terms defined in the service agreement. AICTPO will make commercially reasonable efforts to maintain agent uptime and responsiveness.
7. Payment and Billing
All prices are quoted in EUR (Euro) and are exclusive of applicable taxes (VAT). For B2B clients within the EU, the reverse charge mechanism applies where eligible.
Invoices are issued manually via our payment provider and sent to the email address on file. Payment is due within the timeframe stated on the invoice. Late payments may incur interest at the statutory rate under German law (§ 288 BGB).
Billing begins on the date of service activation as agreed during onboarding. Founding customer rates are locked for the duration of the initial contract term. Prices for renewals may be adjusted with 30 days written notice before the next billing cycle.
8. Contract Term and Cancellation
Service agreements are for an initial term as specified in the onboarding agreement (monthly or annual). Contracts renew automatically for the same period unless cancelled in writing via our contact form) at least 30 days before the end of the current term.
Upon cancellation, the service remains active until the end of the paid billing period. There are no refunds for partial billing periods. Agent access to your repositories will be revoked at the end of the service term.
This is a business-to-business (B2B) service. The EU consumer right of withdrawal (14-day cooling-off period) does not apply to contracts between businesses.
9. Confidentiality
AICTPO treats all client code, repository data, and business information as confidential. We do not access, review, or retain your code beyond what is necessary for agent operation. We do not use your code to train models or share it with third parties.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. AI-GENERATED CODE SHOULD ALWAYS BE REVIEWED BY QUALIFIED ENGINEERS BEFORE DEPLOYMENT TO PRODUCTION.
11. Limitation of Liability
To the maximum extent permitted by law, AICTPO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to conflict of law principles.
For consumers residing in the European Union, any disputes arising from these Terms may be submitted to the competent courts of your place of residence.

14. Changes to Terms
We may update these Terms from time to time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.
